By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
1. Eligibility
You must be at least 13 years of age to use the Services. By using the Site, you represent and warrant that you meet this age requirement and that all registration information you submit will be truthful and accurate.
2. Account Registration
To use the Services, you are required to create an account. You agree to:

- Maintain the security of your account credentials;
- Promptly update your account information as needed;
- Accept responsibility for all activities that occur under your account.

3. Description of Services
Out is an online platform that enables content creators to:
- Connect and manage their social media accounts (currently supporting YouTube and TikTok);
- Import content from those platforms;
- Upload content to those platforms from within Out.
Additional features may be introduced from time to time and are subject to these Terms.
4. Subscription and Billing
Use of certain features of the Services may require a paid subscription. By purchasing a subscription, you agree to the following:
- Your subscription is a recurring billing plan, automatically charged every 30 days until canceled.
- You may manage or cancel your subscription at any time via your account settings under Settings > Billing > Cancel or Manage Subscription.
- Refund Policy: Out subscriptions are generally non-refundable. However, in cases where an issue arises due to a system error or technical fault
on our part, you may request a refund by providing supporting documentation (e.g., video evidence, screenshots). Submit such requests to

We reserve the right to update pricing and billing terms at any time with prior notice to subscribers.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations;
- Infringe upon the rights of any third party;
- Upload or distribute malicious software;
- Attempt to gain unauthorized access to any part of the platform;
- Abuse, harass, or threaten other users or our staff.
Violation of this section may result in the immediate termination of your account without notice.
6. Intellectual Property
All intellectual property rights in the Site and Services, including but not limited to text, graphics, code, software, and trademarks, are owned by or licensed to Out LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your personal or internal business use. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our express prior written consent.
7. User-Generated Content
By uploading or submitting any content through the Services, you retain ownership of your content but grant us a worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, and transmit such content solely for the purpose of operating and improving the Services. You represent and warrant that you have all necessary rights and permissions to upload such content and that it does not infringe on the rights of any third party.
8. Third-Party Platform Integrations
Our Services integrate with third-party platforms, including but not limited to YouTube and TikTok. By using any functionality that connects to or interacts with these platforms, you agree to be bound by the applicable third-party terms and conditions:

TikTok
- You acknowledge that your use of TikTok through our Services is subject to the TikTok Terms of Service, available at:

- Use of TikTok developer tools and features must also comply with the TikTok Developer Terms, available at:
https://developers.tiktok.com/terms
- You agree to comply with all applicable TikTok policies, including community guidelines and privacy policies.
We are not responsible for the actions or policies of these third-party platforms. It is your responsibility to review and comply with their terms when using our Services. Any issues related to your accounts on these platforms, including but not limited to suspension, content removal, copyright claims, or policy enforcement, are solely between you and the respective platform.
9. YouTube API Usage and Terms
Our Services utilize the YouTube API to enable features such as importing and uploading content to your YouTube account. By using any functionality of the Services that interacts with YouTube, you acknowledge and agree to the following:

- You agree to comply with YouTube’s Community Guidelines, Privacy Policy, and any other applicable terms provided by YouTube.
- Your use of YouTube through our Services is also subject to Google's Privacy Policy, available at: https://policies.google.com/privacy
We are not responsible for any actions taken by YouTube against your account, including suspensions or content removal, and it is your responsibility to ensure compliance with YouTube’s terms and policies.
10. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation or availability of the Services, or the information, content, or materials included therein.To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
In no event shall Out LLC or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid, if any, by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Out LLC, its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney fees, arising out of or in connection with your use of the Services or any breach of these Terms.

We reserve the right to correct any errors or omissions in these Terms or the Services, including the content and features, at any time without prior notice.

You agree that we shall not be liable to you or to any third party for any suspension or termination of your account or access to the Services. You may also terminate your account at any time through your account settings.
16. Service Availability and Limitations
The Services may be temporarily unavailable due to scheduled maintenance or unforeseen technical issues. We are not responsible for any interruptions or downtime of the Services.

By using the Services, you consent to receive electronic communications from us. We will communicate with you by email or by posting notices on the Site.
18. Force Majeure
Out LLC shall not be liable for any failure to perform due to unforeseen events beyond our control, including but not limited to acts of nature, war, terrorism, or government regulations.
